Plan your Estonian company’s liquidation properly.
Closing an Estonian OÜ involves its accounts, creditors, company decisions and registry filings. LKS Consult helps you assess the starting position and coordinate the voluntary liquidation work included in your proposal.
For a proposed voluntary closure, start with the company’s assets, debts and reporting status. The appropriate route is confirmed after review.
Check the company’s position before starting closure.
A company can stop trading while still holding assets, owing money or having reports outstanding. Before a liquidation plan is agreed, these matters need to be understood. Tell us about employees, contracts, shareholder loans, tax balances and any claims against the company.
When to speak to us
- You have finished a business activity and want to close the OÜ.
- An inactive company still has accounts, assets or obligations to resolve.
- You need accounting and corporate documents coordinated through closure.
The work we assess for a voluntary liquidation
Company and accounting review
We review the available accounts, reporting position, assets and liabilities. Missing bookkeeping or annual reports are identified as separate preparation work.
Decisions and registry steps
The plan identifies the company decisions, liquidator details and application documents needed. We confirm who prepares, signs and submits each item.
Liquidation accounting
We assess the opening and final accounting work and the records needed during the process. Outstanding balances and shareholder transactions must be explained before final figures are prepared.
Completion and record custody
The closing plan covers the agreed final filings, remaining accounts and document custody. Distribution of assets and closure of banking arrangements need to follow the appropriate sequence.
Understand the stages before agreeing a timetable
Your proposal sets out the work to be completed, the information needed and the responsibilities of the people involved.
1. Review the proposed closure
Share your company details, accounts, assets and debts. We assess the preparation needed and clarify whether voluntary liquidation is an appropriate route.
2. Prepare the formal start
Agree the required decisions, liquidator arrangements and dissolution application. The process includes publication and creditor-related steps described by RIK.
3. Complete the liquidation work
Accounts and obligations are addressed, and the agreed liquidation reports and closing documents are prepared. Work on missing records is priced separately.
4. Proceed to the deletion application
The application follows the required waiting periods and completion of the preceding steps. Confirm the final document package and responsibility for retaining company records.

What to prepare for a closure review
Provide a realistic picture of what the company still owns and owes. A dormant company and a company with unsettled contracts can require very different work.
- Company registry code and current management details
- Latest accounts, annual reports and current bank balances
- Lists of assets, customer debts and supplier obligations
- Tax position, shareholder loans and other financing
- Employees, active contracts, guarantees and disputes
- Details of shareholders and proposed signing arrangements
If the company may be unable to pay its debts, explain this immediately. Insolvency-related duties need separate assessment before a voluntary closure is planned.
A closure proposal based on the company’s condition.
We confirm the accounting and corporate work after reviewing the company. The proposal should distinguish preparation of overdue records, liquidation accounting, document coordination and any agreed representation. State charges, notices, notarial work and other third-party costs are identified separately where relevant.
A quoted service fee is not a promise of immediate deletion. Creditor procedures, statutory waiting periods and unresolved obligations affect the overall schedule.
Frequently asked questions
How long does voluntary liquidation take in Estonia?
It is a process measured in months. RIK describes deletion as subject to minimum waiting periods, including at least six months after registration of dissolution and publication of the liquidation notice, and three months after the final balance sheet and distribution plan. Your timetable depends on the circumstances.
Can an inactive OÜ simply be abandoned?
Stopping activity does not complete a company closure. Review outstanding records, contracts, assets and obligations, then determine the appropriate formal route for the company.
Can I close a company that has debts?
Existing debts and the ability to settle them need review. Where the company cannot meet its obligations, insolvency-related rules may apply. We assess the accounting position and confirm where legal advice is required.
Can the work be coordinated remotely?
Document exchange and planning can be handled remotely. The required signatures, authorisations, liquidator arrangements and any notarial steps depend on the company and the people involved.
Does LKS Consult automatically become the liquidator?
The liquidator’s identity, duties and any representation must be agreed expressly. An initial enquiry or accounting engagement does not appoint LKS Consult as liquidator.
